Dixon QB Club

Bylaws

 

Article I: Date, Name, Mission Statement, and Purpose

Section 1: These bylaws are effective as of March 1, 2009, the formation date of this organization.

Section 2: This organization shall be known as the "Dixon QB Club," a non-profit unincorporated association.

Section 3: The Mission Statement of this organization is to assist the Dixon High School (DHS) Football program.

Section 4: This organization is organized exclusively for charitable purposes under section 501(c)(3) of the Internal Revenue Code, or corresponding section of any future federal tax code.

The purpose of this organization shall be to sponsor and support the DHS Football program within the guidelines of DHS Sports Programs; to provide guidance to, and promote the health, social, education, and character development of DHS student athletes; to promote sports and goodwill throughout the Dixon community, and to disperse funds in the promotion of the DHS Football to lessen the burden of the Dixon Unified School District (local governmental agency).

Article II: Tax Status

This organization is a charitable non-profit organization that is exempt under Internal Revenue Code section 501(c)(3). This organization shall file all forms required to obtain and maintain its tax-exempt status.

Article III: Membership

Section 1: Membership in this organization shall include but not be limited to parents/guardians of the student athletes participating in DHS Football, Dixon business community and Dixon residents at large.

Section 2: Any interested citizen may be a Dixon QB Club member by attending general and/or special meetings, observing these bylaws, and maintaining conduct in the community conducive to the character of this club.

Section 3: Membership shall also include 2 student representatives: one representative from the Junior Varsity Team and one representative from the Varsity Team. The student representatives shall be recommended by the Head Coach of DHS Football and will be appointed by the President. The student representatives shall be appointed for one year and will provide the Executive Board and membership with input from the student athletes about the athletes concerns and/or needs.

Article IV: Officers

Section 1: All officers of this organization shall be elected.

Section 2: The officers of this organization shall be a President, Vice-President, Secretary, Treasurer, and three board members. The officers and board members shall be the Executive Board of the organization.

Section 3: The term of the above named officers shall be one year, from January 1 through December 31 of the calendar year following election to office.

Section 4: Vacancies occurring in the above named officers’ positions shall be filled by appointment by the President and approval of the Executive Board.

Article V: Officers’ Duties and Powers

Section 1: The Duties and Powers of the President shall include the following:

  1. Supervise the affairs of the Dixon QB Club and execute the policies established by the Board of Directors.
  2. Ensure enforcement of the by-laws of this organization
  3. Preside over Dixon QB Club meetings and meetings of the Executive Board.
  4. Call special meetings of members or the Executive Board when deemed necessary
  5. Present a report of the condition of the Dixon QB Club annually.
  6. Organize and monitor appropriate committees, including appointment of committee chairpersons, to ensure the smooth operation of the organization, and delegating appropriate responsibilities to officers, board members, and committee chairs.
  7. Prepare the agenda for all regularly scheduled meetings.
  8. Communicate and work with the DHS Sports Program to insure integration of activities.

Section 2: The Duties and Powers of the Vice-President shall include the following:

  1. Preside over the meetings in the absence of the President.
  2. Assume the duties of the secretary in the absence of the Secretary.
  3. Perform any duties as deemed necessary by the President.

Section 3: The Duties and Powers of the Secretary shall include the following:

  1. Attend all meetings and keep an accurate record of all proceedings.
  2. Prepare ballots for elections
  3. Administer all official correspondence
  4. Perform any duties as deemed necessary by the President.

Section 4: The Duties and Powers of the Treasurer shall include the following:

  1. Receive and give receipts, when requested for all moneys paid to the organization.
  2. Deposit said receipts in a bank within the City of Dixon designated by the organization, in the name of the organization.
  3. Pay all bills ordered paid by the organization and/or by the executive board, with checks requiring two of three authorized signatures; President, Vice-President, and Treasurer.
  4. Keep a correct record of all moneys received and expended.
  5. Make an itemized financial statement of receipts and expenditures at each meeting.
  6. Submit the books and receipts for their approval when called upon to do so.
  7. At the expiration of his/her term, turn over to his/her successor all money and property of this organization that may be in his/her possession.

Article VI: Executive Board

Section 1: The Executive Board shall consist of elected officers and board members of this organization.

Section 2: The Executive Board shall have the power to carry on the business of the club and to approve expenditures not to exceed two hundred fifty dollars ($250) per item which may arise between regular meetings of this organization and may be considered emergency expenditures. Any expenditure not considered to be of an emergency nature must be approved by a majority of members present at a regular or special meeting of this organization.

Section 3: The Executive Board shall meet once a week during fundraising sports events and at the President’s call during the school year. Special meetings may convene at the call of the president or by a majority of the members of the executive board.

Section 4: All major policy decisions made by the executive board shall be referred to the membership for approval.

Section 5: A quorum of four members must be present for the Executive Board to conduct business.

Article VII: Elections of Executive Board

Section 1: Nominations for candidates for the Executive Board for the next year will be taken at the October and November meetings.

Section 2: The election of officers will be determined by the majority vote taken at the December meeting.

Section 3: The election of officers will be done by paper ballots as prepared and distributed by the Secretary who will also collect and tally the votes with the assistance of two independent members appointed by the President.

Section 4: Only adult members may vote.

Article VIII: Committees

Section 1: The president shall appoint such committee chairpersons as necessary for the efficient operation of this organization.

Section 2: Among the committees to be appointed shall be: Ways and Means, Publicity, Trophy, Game film and Audit.

Section 3: Included in the Ways and Means committee shall be sub-committees as deemed necessary.

Article IX: Dedication and Distribution of Assets

Section 1: The property of this organization is irrevocably dedicated to charitable purposes within the meaning of section 501(c)(3) of the Internal Revenue Code and no part of the net income or assets of this organization shall ever inure to the benefit of any director, officer or member thereof or to the benefit of any private person.

Section 2: Upon the dissolution or winding up of this organization, its assets remaining after payment, or provision for payment, of all debts and liabilities of this organization shall be distributed to a nonprofit fund, foundation or corporation which is organized and operated exclusively for charitable purposes and which has established its tax exempt status under section 501(c)(3) of the Internal Revenue Code, or shall be distributed to the Dixon Unified School District (a local governmental agency) for the public purpose of providing assistance to the DHS Football program.

Article X: Moneys

Section 1: It shall be the obligation and responsibility of the Dixon QB Club to raise funds to support DHS Football as deemed necessary by the membership.

Section 2: No persons except as designated herein may incur financial obligation in the name of the Dixon QB Club without the consent of the majority of the membership and/or the majority of the Executive Board.

Section 3: The Treasurer, in cooperation with the Executive Board, shall prepare a budget for estimated expenditures for each calendar year.

Article XI: Meeting

Section 1: General meetings also called regular meetings of this organization shall be held weekly during the season and at the Presidents call during the non-season.

Section 2: Special meetings may be held at the call of the president or by a majority of the Executive Board provided the membership is given three days notice designating date, place, and time.

Section 3: A quorum of four or more members shall be necessary to conduct the business of this organization during executive or general or special meetings.

Section 4: Committees shall meet as often as necessary to perform their respective duties. The meeting shall be called by Committee Chairperson or by a majority of committee members.

Section 5: Meeting of the Committee Chairpersons may be held at the call of the President to ensure efficient operation of this organization.

Article XII: Amendments

These by-laws shall be amended only by a 2/3 vote of the members present at any general meeting of this organization provided the amendments have been publicized to the general membership five days prior to said meeting.

Article XIII: Ratification

These bylaws were adopted at the Dixon QB Club’s general membership meeting on March 16, 2009.
